Hefei TradeFusion Business Service Co., Ltd. (hereinafter referred to as “TradeFusion”, “we”, “us”, or “our”) owns and operates the website https://www.tradefusion.cn (the “Site”). By accessing or using the Site, you (the “User” or “you”) agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, please do not use the Site.
These Terms apply to your use of the Site and to any services provided through the Site, including supplier sourcing, due diligence, on‑site verification, and coordination services (collectively, the “Services”). Any separate Statement of Work or Service Contract signed between you and TradeFusion shall prevail in case of conflict with these Terms.
1. Description of Services
TradeFusion offers project‑based, tiered sourcing support services (Tier 0 to Tier 4) for overseas buyers (including but not limited to European buyers). Each project is individually scoped, and a fixed quote is provided upon request. Services are rendered only after a formal Service Contract is signed by both parties.
2. Payment Terms
- Advance Payment: For any Service Contract, an advance payment (down payment) shall be paid before work commences. The exact percentage or amount will be specified in the Service Contract.
- No Refund for Client‑Initiated Termination: If you terminate the Service Contract without our fault (i.e., you decide to stop the project for any reason not attributable to TradeFusion’s breach or negligence), the advance payment is non‑refundable.
- Final Payment: Any remaining balance is due upon completion of the Services as described in the Service Contract. You agree to pay all invoices within the agreed payment terms.
- Non‑payment: If you fail to pay any invoice after receiving the complete deliverables, we reserve the right to pursue all legal remedies, including but not limited to interest on overdue amounts and collection costs.
3. Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, service frameworks, methodologies, and original images (whether sourced from Unsplash – which is licensed under the Unsplash License – or taken by us), is the property of TradeFusion or its content suppliers and is protected by copyright and other intellectual property laws. The distinctive service tier framework described on the Site is a proprietary methodology of TradeFusion.
You are expressly prohibited from: copying, reproducing, distributing, displaying, modifying, creating derivative works from, reverse engineering, decompiling, or otherwise exploiting any part of the Site’s content or service framework without our prior written consent. Brief quotations for the purpose of review or citation are permitted only if proper attribution is given.
4. User Obligations and Conduct
- Accuracy of Information: You agree to provide true, accurate, current, and complete information when using the Site, including when filling out contact forms, scheduling meetings, or communicating with us. You acknowledge that relying on inaccurate or incomplete information may affect the quality or feasibility of the Services.
- Prohibited Conduct: You shall not:
- Use the Site or Services for any illegal or fraudulent purpose;
- Interfere with or disrupt the operation of the Site or its underlying infrastructure;
- Harass, abuse, or threaten any employee, contractor, or supplier of TradeFusion (anti‑harassment clause);
- Attempt to circumvent payment obligations, including but not limited to refusing to pay for delivered Services without valid cause;
- Use information obtained through the Services to directly bypass TradeFusion and contract with a supplier introduced by us, without proper compensation as may be separately agreed.
5. Disclaimers and Limitation of Liability
- No Guarantee of Supplier Performance: TradeFusion does not guarantee the quality, safety, compliance, delivery timelines, or financial solvency of any supplier identified or recommended. You remain solely responsible for your own contracting and due diligence decisions.
- Information Accuracy: While we strive to provide accurate and up‑to‑date information in our reports and communications (e.g., due diligence summaries, on‑site observations), we do not warrant that such information is error‑free, complete, or sufficient for your specific business purposes. Any reliance you place on such information is at your own risk.
- No Liability for Consequential Damages: To the maximum extent permitted by law, TradeFusion shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost business opportunities, or damage to reputation, arising out of or related to your use of the Site or Services, even if we have been advised of the possibility of such damages.
- Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, epidemics, government actions, war, terrorism, or internet outages.
6. Termination and Suspension
- By TradeFusion: We reserve the right to suspend or terminate your access to the Site or to refuse to provide Services at any time, without liability, for any reason, including but not limited to your breach of these Terms or any Service Contract. We will make reasonable efforts to notify you in advance where practicable.
- By You: You may not arbitrarily “log out” or abandon the relationship without proper contract termination. Formal termination of an ongoing engagement requires a written notice and, if applicable, a signed termination agreement clarifying outstanding obligations and payment of any remaining fees. Unilateral, unjustified termination without cause may result in forfeiture of any advance payments and liability for costs incurred.
- Survival: Sections relating to intellectual property, disclaimers, limitation of liability, payment obligations, and governing law shall survive any termination.
7. Governing Law and Dispute Resolution
- Governing Law: These Terms and any dispute arising from or relating to them shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles.
- Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the validity, invalidity, breach, or termination thereof, shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) East China Sub‑Commission (or the successor entity) for arbitration in accordance with its arbitration rules. The seat of arbitration shall be Shanghai (or another city designated by the Sub‑Commission). The arbitration award shall be final and binding upon both parties.
8. Amendments
We reserve the right to modify these Terms at any time by posting the revised version on this page with an updated “Last Updated” date. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms. For material changes, we will also notify you through the Site or by email. We encourage you to review these Terms periodically.
9. Entire Agreement
These Terms, together with any Service Contract or Statement of Work signed separately, constitute the entire agreement between you and TradeFusion regarding the subject matter hereof. In the event of any inconsistency between these Terms and a signed Service Contract, the signed Service Contract shall prevail.
